Terms of Service

1. Agreement to Terms

By accessing or using Venture Reports at venturereports.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Venture Reports is a software-as-a-service platform that helps startup founders create professional investor update reports from plain text. The Service uses artificial intelligence to analyze your input and generate formatted, shareable reports with data visualizations.

3. Account Registration

To use the Service, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Subscription Plans and Billing

4.1 Plans

We offer Free and Pro subscription plans. Each plan has different features and usage limits as described on our pricing page.

4.2 Billing

• Paid subscriptions are billed monthly or annually in advance
• All fees are in US dollars and non-refundable except as required by law
• We use Stripe for payment processing; their terms apply
• You authorize us to charge your payment method on file

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You'll retain access to paid features until then. No partial refunds are provided for unused time.

5. Usage Limits

Each plan includes specific usage limits:

• Free: 1 report/month, 3 AI regenerations/month
• Pro: Unlimited reports, unlimited AI regenerations

Limits reset at the beginning of each billing cycle. Exceeding limits may require upgrading your plan.

6. Your Content

6.1 Ownership

You retain all ownership rights to the content you input into the Service ("Your Content"). This includes your investor update text, company information, financial data, and any customizations.

6.2 License Grant

By using the Service, you grant us a limited license to process Your Content solely for the purpose of providing the Service. This includes sending Your Content to our AI provider (Anthropic) for analysis.

6.3 Content Responsibility

You are responsible for ensuring Your Content is accurate, legal, and does not infringe on any third-party rights. We do not verify the accuracy of financial information in your reports.

7. Generated Reports

Reports generated by the Service are derivative works based on Your Content. You own these generated reports and may use them for any lawful purpose, including sharing with investors.

The AI-generated layouts and visualizations are provided "as is." While we strive for accuracy, you should review all generated content before sharing with investors.

8. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Upload malicious code or attempt to compromise the Service
• Attempt to access other users' accounts or data
• Use the Service to generate fraudulent or misleading reports
• Resell or redistribute the Service without authorization
• Circumvent usage limits or payment requirements
• Use automated tools to access the Service (except our official API)
• Interfere with the Service's operation or other users' access

9. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Venture Reports and protected by intellectual property laws. You may not copy, modify, or create derivative works based on the Service itself. The Venture Reports name, logo, and branding are our trademarks.

10. Third-Party Services

The Service integrates with third-party services including Anthropic (AI processing), Stripe (payments), and Supabase (data storage). Your use of these services is subject to their respective terms. We are not responsible for third-party service availability or changes.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect availability. We'll provide advance notice of planned maintenance when possible.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENTURE REPORTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Venture Reports and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with notice. Upon termination:

• Your right to use the Service ceases immediately
• You may request a copy of Your Content within 30 days
• We may delete Your Content after 30 days
• Provisions that should survive termination will remain in effect

16. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to participate in class action lawsuits. This agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.

17. Changes to Terms

We may modify these Terms at any time. We'll notify you of material changes via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance of the updated Terms.

18. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Venture Reports
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• No Waiver: Our failure to enforce any right does not waive that right
• Assignment: You may not assign your rights under these Terms without our consent
